The SOFTWARE PRODUCT includes: 

  •  SX3 Loan Modification, all versions and releases.
  •  SX3 Debt Relief, all versions and releases.
  •  SX3 Backup, all versions and releases.
  •  SX3 Web Component, all versions and releases.
  •  SX3 Utility, all versions and releases.

IMPORTANT - READ CAREFULLY

This End-User License Agreement (”EULA”) is a legal agreement between you (either an individual or a single entity) and SX3 Software, LLC (”Author”) for the software product identified above and any updates or maintenance releases thereto, which includes computer software and may include associated media, printed materials and “online” or electronic documentation (”SOFTWARE PRODUCT”). By installing or using the SOFTWARE PRODUCT, you acknowledge that you have read this EULA and you agree to be bound by its terms and conditions.

SOFTWARE PRODUCT LICENSE: The SOFTWARE PRODUCT is protected by copyright and other intellectual property laws and treaties. The Author owns the title, copyright, and other intellectual property rights in the SOFTWARE PRODUCT. The Author reserves all rights not expressly granted to you in this EULA. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE.

This EULA grants you the following rights: Installation and Use: For each license purchased, you may install and use the SOFTWARE PRODUCT for the number of users expressed in your invoice per site. A user is defined as one operator who uses one or multiple computer workstations per site. A site is defined as the Hard-Disk-Drive of the End-User’s Server or Workstation where the database and programs of the SOFTWARE PRODUCT are installed. A computer workstation is defined as the computer equipment used to access the SOFTWARE PRODUCT on a network or standalone environment. Restrictions: You may not rent, lend, assign, distribute, reproduce or lease the SOFTWARE PRODUCT or its component parts. You may transfer your rights under this EULA on a permanent basis provided (i) such transfer is permitted under your EULA with written authorization by the AUTHOR, (ii) you transfer your license of the SOFTWARE PRODUCT and this EULA; and (iii) the recipient agrees to be bound to this EULA. The transfer must include the entire SOFTWARE PRODUCT. Prior to transferring the SOFTWARE PRODUCT you must remove the SOFTWARE PRODUCT to be transferred from your site and all your computer workstations. The same license cannot be installed in multiple sites.

2. OWNERSHIP OF LICENSE.

The Author retains ownership of the SOFTWARE PRODUCT until it is purchased and paid in full. In the event that (i) the SOFTWARE PRODUCT is installed and you fail to pay it in full as agreed in your Invoice or (ii) if you are using a trial version of the SOFTWARE PRODUCT and the trial period expires, the Author will deactivate your license and you will no longer have access to use the SOFTWARE PRODUCT. The SOFTWARE PRODUCT deactivation may occur without previous notice.

3. LICENSE KEY.

Once the SOFTWARE PRODUCT is paid off, you will receive a USB dongle key (KEY). This KEY must be plugged into the server or one of the stations and shared to all the SOFTWARE PRODUCT users in order for the SOFTWARE PRODUCT to work. This is your SOFTWARE PRODUCT KEY, DON’T LOSE IT. If your KEY does not function properly, the AUTHOR will replace it with a new one. If you lose the KEY you will require to purchase a new one.

4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

Limitations on Reverse Engineering, Decompilation, Recompilation and Disassembly: You may not reverse engineer, decompile, recompile or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Separation of Components:

The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one site. Termination: Without prejudice to any other rights, the Author of this SOFTWARE PRODUCT may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must remove from your site and destroy the SOFTWARE PRODUCT and all of its component parts.

5. THE AUTHOR DOES NOT PROVIDE ADVICE OF ANY KIND.

The Author does not provide any type of advice about how to promote services, approach Customers, establish and collect fees, process/negotiate/manage the cases (files) stored in the SOFTWARE PRODUCT. The Author provides the SOFTWARE PRODUCT to you as a tool to facilitate the control of the data entered in the SOFTWARE PRODUCT. Should any person or entity files a lawsuit or institutes arbitration against you, SX3 Software LLC has no obligation nor responsibility of any kind. You release SX3 Software LLC, its affiliates, appointees, agents, employees, subcontractors and their subcontractors and employees of all claims.

6. COPYRIGHT.

All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any code, images, logos, photographs, diagrams, animations, video, audio, music, sounds, text, report formats, query files and applets incorporated into the SOFTWARE PRODUCT), the accompanying printed materials (if any), and any copies of the SOFTWARE PRODUCT are owned by the Author of this SOFTWARE PRODUCT. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material.

DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHOR PROVIDES TO YOU THE SOFTWARE PRODUCT, AND SUPPORT SERVICES (IF ANY) AS IS AND WITH ALL FAULTS; AND THE AUTHOR HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF RELIABILITY OR AVAILABILITY, OF ACCURACY OR COMPLETENESS OF RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE PRODUCT OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE PRODUCT. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, AND CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT WITH REGARDS TO THE SOFTWARE PRODUCT.

NO LIABILITY FOR DAMAGES: In no event shall the Author of this SOFTWARE PRODUCT be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this SOFTWARE PRODUCT, even if the Author of this SOFTWARE PRODUCT has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
